This Software License Agreement (“License Agreement”) governs your access to and use of the Assessment.com software platform, including all related tools, applications, artificial intelligence features, assessments, databases, reports, APIs, and related services (collectively, the “Software”).

This License Agreement forms part of the Assessment.com Master Platform Agreement. By accessing or using the Software, you agree to be bound by this License Agreement.

If you do not agree to these terms, you may not access or use the Software.

1. Grant of License

Subject to compliance with this Agreement, Assessment.com grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Software through the Assessment.com platform.

This license permits you to:

• access and use the platform through a web browser or authorized interface
• create, administer, host, and distribute assessments
• analyze and review assessment results and reports
• utilize artificial intelligence tools provided within the platform
• purchase or distribute assessments available through the platform marketplace

The Software is licensed, not sold.

No ownership rights are transferred to you.

2. Scope of Use

The Software may be used for:

• personal development
• education and research
• coaching and consulting
• recruiting and screening
• Surveys
• Testing & Trivia Contests
• enterprise organizational assessments
• marketplace distribution of assessments
• Additional uses permitted with written approval from Assessment.com

Use of the Software must comply with all applicable laws and this License Agreement.

3. License Restrictions

Except as expressly permitted in this Agreement, you may not:

• copy, reproduce, distribute, or publicly display the Software
• reverse engineer, decompile, or attempt to extract source code
• scrape, extract, or systematically download platform data
• interfere with or disrupt platform functionality
• bypass usage restrictions or security mechanisms
• resell or sublicense the platform software outside the platform without written permission

You may not use automated tools to access the platform in a manner that exceeds normal usage limits or negatively impacts platform performance.

4. Intellectual Property Rights

All intellectual property rights in the Software are owned by Assessment.com or its licensors.

This includes but is not limited to:

• software code and platform architecture
• psychometric scoring systems
• the MAPP (Motivational Appraisal of Personal Potential) assessment
• artificial intelligence systems
• assessment databases
• scoring algorithms and matching systems
• platform reports and analytics

Nothing in this License Agreement transfers ownership of any intellectual property to you.

5. User Generated Content

Users may create assessments, surveys, reports, and other content within the platform (“User Content”).

You retain ownership of User Content you create.

However, by uploading or creating User Content, you grant Assessment.com a worldwide, non-exclusive license to:

• host the content
• display the content
• distribute the content through the platform
• process the content to generate reports, scoring, or analytics

Assessment.com does not claim ownership of User Content but may remove or restrict content that violates platform policies.

6. Artificial Intelligence Tools

The Software may include artificial intelligence tools including:

• AI assessment builders
• AI-generated narratives
• AI matching tools
• AI assistants
• automated scoring and reporting systems

AI-generated content is provided for informational purposes only and may not always be accurate or complete.

Users are responsible for reviewing and determining how to use AI-generated outputs.

AI outputs do not constitute legal, medical, psychological, career, or financial advice.

7. Platform Availability

Assessment.com will make reasonable efforts to maintain the availability of the Software.

However, the Software may be unavailable from time to time due to:

• maintenance
• updates or upgrades
• security incidents
• third-party service interruptions
• events outside our control

Assessment.com does not guarantee uninterrupted access to the Software.

8. Data Use and Anonymized Data

Use of the Software may generate anonymized or aggregated data related to assessments and platform usage.

Assessment.com may use such anonymized data to:

• improve platform functionality
• refine assessment scoring models
• develop comparison norms and benchmarks
• conduct research and analytics
• train and improve artificial intelligence systems

Assessment.com may also lease, license, or sell anonymized or aggregated data to third parties for purposes including artificial intelligence training, machine learning research, or product improvement.

Such data will not contain personally identifiable information.

9. Fees and Payment

Access to certain features of the Software may require payment.

Payments may include:

• subscription fees
• per-assessment fees
• enterprise licensing fees
• marketplace transaction fees

Payments are processed through third-party payment processors.

Assessment.com does not store full payment card information.

10. Termination of License

Assessment.com may suspend or terminate your license if:

• you violate this License Agreement
• your use creates risk or harm to the platform
• you attempt unauthorized access or misuse the platform

Upon termination:

• your license to use the Software immediately ends
• access to platform tools and data may be revoked

11. No Warranty

The Software is provided “as is” and “as available.”

Assessment.com makes no warranties regarding:

• performance
• reliability
• accuracy of results
• suitability for any particular purpose

To the fullest extent permitted by law, all implied warranties are disclaimed.

12. Limitation of Liability

To the fullest extent permitted by law, Assessment.com will not be liable for:

• indirect damages
• incidental damages
• consequential damages
• lost profits
• lost business opportunities

The maximum liability of Assessment.com shall not exceed the amount you paid for the Software during the three months preceding the event giving rise to the claim.

13. Governing Law

This License Agreement shall be governed by the laws of the State of Florida, without regard to conflict-of-law principles.

14. Changes to this License Agreement

Assessment.com may modify this License Agreement from time to time.

Updated versions will be posted on the platform.

Continued use of the Software after updates constitutes acceptance of the revised agreement.
